Director of Management Company is now director of Managing Agent

    Hello,

I am a director of a management company for a development of flats with one other person. This person is also a director of a company that buys properties and acts as freeholder. This other company he is a director of has now become the sole director of the managing agent who is employed to look after our development. This is clearly a conflict of interest and I wondered what I can do about it? I found out this information second hand though another leaseholder, but it is confirmed on Companies House. With there being only 2 directors, I don't think I can remove him as a director, but I don't know what I can do.

What proof have you of conflict of interest?

As long as you or the other person don't double account the management fees, I can't see an issue, other than the other person is making money both from the development and now ongoing once the development has been completed.
